These Terms apply to this website and the mobile applications PlanWed and PlanWed Pro (any account you may establish and any products and services offered by PlanWed or PlanWed Pro, including, without limitation, our vendor platform, planning tools, or any other tools). These Terms and Conditions apply to all visitors and users of our Website and Our Services, including but not limited to registered users, guests, and services vendors ("Vendors") with listings on PlanWed Pro application, but some provisions apply to each party differently.

 

Interpretation and Definitions 

 

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in the singular or in the plural.

 

Definitions

 

For these Terms and Conditions:

• "Owner of the site" refers to MB "Chat Studios".

• "Application" means the software program provided by PlanWed and PlanWed Pro downloaded by You on any electronic device, named PlanWed or PlanWed Pro.

• "Account" means a unique account created for You to access our Services or parts of our Services.

• "Application Store" means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.

• "PlanWed" (referred to as either "We", "Us" or "Our" in this Agreement) refers to the website, PlanWed and PlanWed Pro Applications.

• "Vendor" refers to companies and other third parties offering products and services related to weddings or other important life events.

• "Users" include individual users such as brides and grooms, wedding guests, and people hosting an event.

• "Content" refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

• "Country" refers to Lithuania.

• "Device" means any device that can access the Services such as a computer, a cell phone or a digital tablet.

• "Feedback" means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Services.

• "Services" refers to the mobile applications PlanWed and PlanWed Pro and this website. Certain areas of the Services may provide a place for Users to interact with Vendors and book services that a Vendor offers.

• "Terms and Conditions" (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the owner of the Site regarding the use of the Service.

• "Third-party Social Media Service" means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Services.

• "Website" refers to the PlanWed’s website, accessible from https://planwed.app

• "You" means the individual accessing or using the Services, or the company, or other legal entity on behalf of which such individual is accessing or using the Services, as applicable.

 

Acknowledgement

 

These are the Terms and Conditions governing the use of these Services and the agreement that operates between You and Us. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Services. 

 

Your access to and use of the Services is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Services. 

 

By accessing or using the Services You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Services. 

 

Your access to and use of the Services is also conditioned on Your acceptance of and compliance with the Privacy Policy. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

 

Our Services offer our users the ability to easily create and manage a wedding plan, find Vendors, or register as a Vendor to reach potential Users of their products and services. We provide mobile applications that contain multiple features, such as a to-do list, a budget planner, guests list, vendors lists, and others that greatly ease the whole process of planning the wedding.

 

User Account

 

When You create an account with Us, You must provide Us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Services.

 

You are responsible for safeguarding the password that You use to access the Services and for any activities or actions under Your password, whether Your password is with Our Services or a Third-Party Social Media Services. 

 

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account. 

 

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

As a user, you acknowledge that although we make efforts to authenticate the identity of Vendors when they register to offer their services, we cannot ensure and will not guarantee the identity, competence, acquisition of necessary permits, licenses, or consents, or compliance with all pertinent laws of each vendor. We do not endorse any specific vendor, nor can we assure the quality of their products or services. Our services should be utilized as an initial resource for identifying organizations that offer the products and services you need, then conduct your own research to ensure the service providers you select are suitable for your needs.

Our services offer solely the opportunity to connect with wedding vendors. If you decide to click on the "Get Proposal" button, you accept that vendors are authorized to reach out to you using the email address you have provided. It remains within your discretion to determine whether you wish to further engage in communication or secure a vendor for your event. In no event shall We be liable for any direct or indirect damage or loss caused or alleged to be caused by or in connection with the Services.

As a user, you acknowledge that we do not function as a product or service provider, vendor, or agent representative for any Vendor. We and the Services function solely as a neutral venue and digital clearinghouse where Users may connect for particular types of services or products. We are not directly involved in, nor party to, the actual transactions occurring between Users. Consequently, we have no control over the existence, quality, accuracy, safety, or legality of the transactions conducted through our services or the accuracy of vendor listings. We have no control over the ability of Vendors to provide items or perform services or the ability of Users to pay for any goods and services. We refrain from making any representations or warranties and bear no liability or responsibility for the actions or inactions of our users.

Vendor Account

​

PlanWed may allow Vendors to post profiles on the PlanWed application. If you are consenting to the Terms on behalf of a company or other legal entity, you represent and guarantee that you have the authority to obligate that company or other legal entity to the Terms and, in such event, “you” and “your” refer to that particular company or other entity. Failure to prove it may result in immediate termination on Your account on our Services.

 

As a Vendor you acknowledge and accept that we will not endorse you or your products or services. We bear no responsibility for assisting you in reaching an agreement with Users, nor are we liable for assisting you in providing goods and services to Users.

Vendors are responsible for providing accurate and current information in their Vendor profiles which will comply with these Terms and Conditions. It is your responsibility to ensure that all information, documentation, equipment, software, photographs, brand guidelines, trademarks, service details and pricing provided are accurate, correct, ethical and not misleading. Additionally, you are required to obtain consent from all relevant individual’s for their advertisement on the Application (including for photos), and keep accurate records of those consents and provide copies to us if reasonably requested. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Services.

 

Your reserve the right to update profile information regarding your services, pricing or photo gallery at any time. It is your responsibility to ensure that all updated information are accurate, correct, ethical and not misleading. We are in no way responsible for any miscommunication between the user and vendor arising from such changes in conditions. 

 

As a Vendor, it is essential that you accurately represent the true and correct name of your business on the Services. If there is a change to that business name, Vendors are required promptly update the Services and may be asked to provide additional documentation as evidence of the name change. Vendors involved in the sale of goods and services must possess a valid business operations license, as applicable. If you or your company experiences a dissolution, merger or any other substantial change in personnel within your company (such as a sale of the company), we reserve sole discretion to determine whether to maintain, transfer or terminate your account, including all content previously associated with such account.

As a Vendor, you agree to:

Provide your Services to Users in accordance with the highest industry standards relevant to you and promptly handle all inquiries and issues relating to your services and bookings.

Receive important notifications regarding your Vendor account via your email or other your provided contacts, including inquiries from Users interested in your services.

​

Utilize the contact information provided solely to facilitate communications with potential clients. It is strictly prohibited to use the User's contact information for any other purpose, including for purposes of adding to marketing lists or sending automated messages (such as bulk email, SMS, robocalls, robotexts), or engaging in spamming the User through any means.

Interact with Users in a fair, ethical, and responsible manner, delivering a service that does not bring the PlanWed brand into disrepute.

As a Vendor you agree not to:

Engage in or accept any form of bribery, influence peddling, corruption, extortion, or embezzlement. Additionally, you will not make illegal payments directly or indirectly and must establish monitoring and enforcement procedures to ensure compliance with anti-corruption laws, where necessary.

Content 

 

Your Right to Post Content 

 

Our Services allow You to post Content. You are responsible for the Content that You post to the Services, including its legality, reliability, and appropriateness. 

 

By posting Content to the Services, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Services. You retain any and all of Your rights to any Content You submit, post or display on or through the Services and You are responsible for protecting those rights. You agree that this license includes the right for Us to make Your Content available to other users of the Services, who may also use Your Content subject to these Terms. 

 

You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

PlanWed is not responsible for the content of the Services' users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under Your account, whether done so by You or any third person using Your account.

 

You may not transmit any unlawful Content, offensive, upsetting, intended to disgust, threatening, libellous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

 

• Unlawful or promoting unlawful activity. 

• Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups. 

• Spam, machine – or randomly–generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling. 

• Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person. 

• Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights. 

• Impersonating any person or entity including PlanWed and its employees or representatives. 

• Violating the privacy of any third person. 

• False information and features. 

 

PlanWed reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with these Terms, refuse or remove this Content. PlanWed further reserves the right to make formatting and edits and change the manner of any Content. PlanWed can also limit or revoke the use of the Service if You post such objectionable Content. As PlanWed cannot control all content posted by users and/or third parties on the Services, you agree to use the Services at Your own risk. You understand that by using the Services You may be exposed to content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will PlanWed be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of Your use of any content.

 

Content Backups 

 

Although the Content you create is stored on our backend services, the Services is not a backup service and We do not guarantee there will be no loss or corruption of data.

 

PanWed will provide support and attempt to troubleshoot any known or discovered issues that may affect the Content. But You acknowledge that PlanWed has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

 

Copyright Policy 

 

Intellectual Property Infringement 

 

We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Services infringes a copyright or other intellectual property infringement of any person. 

 

If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Services, You must submit Your notice in writing to our attention via email hello@planwed.app and include in Your notice a detailed description of the alleged infringement. 

 

Your Feedback to Us

 

You assign all rights, titles and interests in any Feedback You provide Us. If for any reason such assignment is ineffective, You agree to grant Us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

Our Services may contain links to third-party websites or services that are not owned or controlled by PlanWed. 

 

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that PlanWed shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services. 

 

We strongly advise You to read the Terms and Conditions and privacy policies of any third-party websites or services that You visit.

 

Internet Connection

 

Our Services require an active and stable connection to the Internet to function. It is therefore Your responsibility to ensure that You have at all times an active and stable Internet connection.

 

Termination

 

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. 

 

Upon termination, Your right to use the Services will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Services.

 

Termination by You

 

You may cancel the Services at any time. On how to terminate (delete) Your Account, please read our Data retention section in the Privacy Policy.

 

Privacy

 

Our Privacy Policy describes how we handle the information You provide to Us when You use Our Services. You understand that through Your use of the Services You consent to the collection and use (as outlined in the Privacy Policy) of this information, including the processing and use by Us.

 

Governing Law 

 

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

 

Disputes Resolution 

 

If You have any concerns or disputes about the Services, You agree to first try to resolve the dispute informally by contacting PlanWed.

 

Limitation of Liability

 

To the maximum extent permitted by applicable law, in no event shall PlanWed or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Services, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if PlanWed or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

 

"AS IS" and "AS AVAILABLE" Disclaimer 

 

The Services is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, PlanWed, on its own behalf and on behalf of its service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Services, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, PlanWed provides no warranty or undertaking, and makes no representation of any kind that the Services will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected. 

 

Without limiting the foregoing, neither PlanWed nor any of our provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Services, or the information, content, and materials or products included thereon; (ii) that the Services will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Services; or (iv) that the Services, its servers, the content, or e-mails sent from or on behalf of PlanWed are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components. 

 

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

 

Suggested Tasks and Budget Plans

 

Our Services provide only suggested wedding plans. It is up to You to decide whether the mentioned suggestions fit Your purpose. In no event shall We be liable for any direct or indirect damage or loss caused or alleged to be caused by or in connection with the Services.
